These Terms & Conditions (“Terms”) govern your access to and use of the website:

and any related website, software, application, dashboard, API, documentation or other technology service provided by Arion Ratings Private Limited (“Arion Ratings”, “ARPL”, “we”, “us” or “our”).

Please read these Terms carefully before accessing or using our services.

By accessing our website, creating an account, executing an order form, clicking “Accept”, “Continue”, “Proceed”, “Submit”, or using our software or related services, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, you should not use the relevant services.

1. ABOUT ARION RATINGS PRIVATE LIMITED


Arion Ratings Private Limited is a technology company that provides software as a service and related digital infrastructure to businesses, including banks, Non-Banking Financial Companies (“NBFCs”), originators, platforms and other institutional customers.

Our software may include tools for origination workflows, risk decisioning, integrations, portfolio monitoring, reporting, APIs and other technology modules described on our website or in an applicable commercial agreement.

Arion Ratings is not a bank, NBFC, payment system operator or other RBI-regulated lender. We do not ourselves lend money, sanction credit, disburse loans, collect loan repayments on our own account, or enter into a borrower–lender relationship with any person.

Where a customer uses our software in connection with its own credit, origination or capital activities, that customer remains solely responsible for its products, underwriting, disclosures, customer relationships and regulatory obligations.

2. NATURE OF THE SERVICES


Arion Ratings provides technology software and related professional or support services. Depending on the subscribed modules and the applicable agreement, this may include

​

  • hosted software and dashboards;

  • APIs and developer tools;

  • workflow and decisioning technology;

  • integrations with third-party systems;

  • analytics and reporting;

  • implementation, configuration or support services

  • related documentation.


The website is informational unless a paid subscription, licence or statement of work is separately agreed. Features described on the website may vary by plan, region or customer configuration and do not constitute a binding offer.

If there is a conflict between these website Terms and a signed master services agreement, order form or other commercial contract with Arion Ratings, the signed commercial contract will prevail for the paid services covered by it.

3. ELIGIBILITY


You may use our technology software and related services only if you

​

  • are at least 18 years of age;

  • are legally competent to enter into a contract under Indian law;

  • if accessing the services on behalf of an organisation, are duly authorised to bind that organisation;

  • are using the services for lawful business or professional purposes;

  • provide accurate and complete information; and

  • agree to comply with these Terms and applicable law.


Arion Ratings provides technology software as a service. We do not ourselves lend money, sanction credit or guarantee any loan or financial product.

Meeting these requirements does not create any obligation on Arion Ratings to grant access to any particular software module, API, subscription or feature.

Access to particular services may be subject to additional conditions, including

​

  • execution of a commercial or licence agreement;

  • payment of applicable subscription or usage fees;

  • authorised-user and usage limits;

  • technical integration and security requirements;

  • applicable Know Your Customer or onboarding checks where legally required; and

  • other conditions specified in the applicable order form or service agreement.


4. ACCOUNTS AND ACCESS


Certain services may require registration or creation of a user profile.

You agree to provide information that is:

​

  • accurate;

  • current;

  • complete;

  • authentic;

  • not misleading;


You must promptly update information where it changes and such update is relevant to your account or an active subscription.

You are responsible for maintaining the confidentiality of:

​

  • passwords;

  • one-time passwords and multi-factor authentication codes;

  • API keys and access tokens; other authentication credentials; and

  • devices used to access your account.


You are responsible for activity that occurs under your account, except where you have promptly notified us of unauthorised access and we have confirmed that the activity was not caused by your failure to safeguard credentials.

If you access the services on behalf of a customer organisation, that organisation is responsible for administering authorised users, roles and permissions.

6. SUBSCRIPTIONS, LICENCES AND CUSTOMER RESPONSIBILITY

Paid access is granted only for the modules, usage volumes, environments and term specified in the applicable order form or commercial agreement.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the subscribed software during the term, solely for your internal business purposes and in accordance with these Terms and the applicable agreement.

You remain solely responsible for;

​

  • your configuration and use of the software;

  • the accuracy of data you submit;

  • decisions you make using outputs, scores, reports or workflows generated by the software;

  • your relationships with your own customers, partners and counterparties; and

  • compliance with laws and regulations applicable to your business, including any credit, KYC, data-protection or outsourcing obligations that apply to you.


The software may assist with technology workflows. It does not replace your independent commercial, credit, legal or compliance judgement.

6. FEES AND PAYMENT


Fees, billing frequency, taxes and payment terms are as set out in the applicable order form, invoice or commercial agreement.

Unless expressly agreed otherwise in writing:

​

  • subscription fees are payable in advance;

  • usage-based charges are payable as invoiced;

  • fees are exclusive of applicable taxes; and

  • late or failed payment may result in suspension of access.


Website browsing and general enquiries do not themselves create a fee obligation. Demo requests and contact-form submissions are not paid subscriptions unless a separate commercial agreement is executed.

7. CUSTOMER DATA


“Customer Data” means information submitted to the software by or on behalf of a customer, including business data, configuration data and any personal information the customer chooses to process through the services.

As between the parties, the customer retains its rights in Customer Data. Arion Ratings will process Customer Data only to provide, secure, maintain and improve the services, to comply with law, and as otherwise instructed by the customer or permitted under the Privacy Policy.

Where a customer uses the software to process personal information of its own users or counterparties, the customer is responsible for providing any required notices and obtaining any required consents. Arion Ratings acts as a technology processor or service provider in respect of that Customer Data, except where we independently determine the purposes of processing, for example website analytics or our own business records.

You must not submit Customer Data that you are not authorised to process, or that would cause Arion Ratings to violate applicable law.

8. ACCEPTABLE USE


You must not;

​

  • use the services for any unlawful, fraudulent or harmful purpose;

  • attempt to gain unauthorised access to the software, accounts, systems or data;

  • copy, modify, reverse engineer, decompile or create derivative works from the software except to the extent permitted by mandatory law;

  • resell, sublicense, lease or provide the software to third parties except as expressly authorised in writing;

  • interfere with or disrupt the integrity or performance of the services;

  • introduce malware, excessive automated requests or other harmful code;

  • misrepresent Arion Ratings as a lender, bank, NBFC or guarantor of credit; or

  • use the services in a manner that infringes intellectual property, privacy or other rights.


9. INTELLECTUAL PROPERTY


Arion Ratings and its licensors own all right, title and interest in the website, software, APIs, documentation, trademarks, designs, models, templates and other technology made available by us, including improvements and derivative works created by us.

These Terms do not transfer ownership of our intellectual property to you. Feedback you provide may be used by Arion Ratings to improve the services without obligation to you.

You grant Arion Ratings a limited licence to host, copy, transmit and display Customer Data solely as needed to provide the services.

10. THIRD-PARTY SERVICES


The services may interoperate with third-party products, data sources, cloud providers, communication tools or other integrations. Those third-party services are provided by their respective operators and are subject to their own terms and privacy policies.

Arion Ratings is not responsible for third-party services that we do not control, including outages, data practices, fees or changes made by the third party.

11. AVAILABILITY, SUPPORT AND CHANGES TO THE SOFTWARE
We aim to provide the services with reasonable care and skill. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency patches, force majeure events, internet failures and third-party outages may affect availability.

Support is provided as described in the applicable agreement or support policy. Website visitors who are not paying customers are not entitled to service-level commitments.

We may modify features, interfaces or technical requirements from time to time, provided that we do not materially reduce the core subscribed functionality during a paid term except as required by law, security or the applicable agreement.

12. NO CREDIT, NO FINANCIAL ADVICE


Nothing on the website or in the software constitutes

​

  • an offer to lend or borrow money;

  • a loan agreement, sanction letter or Key Facts Statement;

  • investment, legal, tax or financial advice; or

  • a guarantee of any credit decision, approval, pricing, disbursement or commercial outcome.


Any scores, recommendations, limits, workflows or “decisions” generated by the software are technology outputs for the customer’s own use. The customer (or, where applicable, the customer’s regulated partner) remains responsible for the final decision.

13. DISCLAIMERS
To the maximum extent permitted by law, the website and services are provided on an “as is” and “as available” basis.

Except as expressly stated in a signed commercial agreement, Arion Ratings disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.

We do not warrant that use of the software will meet your business targets, that outputs will be accurate or complete in all cases, or that the services will be free of defects.

14. LIMITATION OF LIABILITY


To the maximum extent permitted by law, Arion Ratings will not be liable for;

​

  • indirect, incidental, special, consequential or punitive losses;

  • loss of profits, revenue, goodwill, data or business opportunity;

  • losses arising from your use of outputs to make credit or commercial decisions; or

  • losses caused by third-party services, internet failure or events beyond our reasonable control.


Except for liability that cannot be limited under applicable law, Arion Ratings’ aggregate liability arising out of or relating to the website or these Terms will not exceed the fees paid by you to Arion Ratings for the affected service during the three (3) months immediately preceding the claim, or, if you have paid no fees, one thousand Indian Rupees (₹1,000).

A signed commercial agreement may specify a different liability cap for paid services. These website Terms do not limit any non-excludable statutory rights.

15. INDEMNITY
You will indemnify and hold harmless Arion Ratings, its directors, employees and contractors against claims, losses and reasonable costs arising from;

​

  • your misuse of the services;

  • Customer Data you submit;

  • your breach of these Terms or applicable law; or

  • your representation of Arion Ratings as a lender or as the party responsible for another person’s credit product.


17. PRIVACY
Personal information is handled in accordance with our Privacy Policy, which forms part of these Terms.

Please include your name, organisation, a description of the issue and any relevant account or invoice details. We will use reasonable efforts to acknowledge and address complaints relating to our technology services.

Complaints about a loan, sanction, disbursement, repayment or other credit product must be directed to the relevant bank, NBFC or other regulated entity that provided that product. Arion Ratings cannot resolve lending disputes on a lender’s behalf.

19. GOVERNING LAW


These Terms are governed by the laws of India.

Subject to any mandatory statutory forum, courts at Gurugram, Haryana, India will have jurisdiction over disputes arising out of these Terms. Nothing in these Terms limits a person’s non-excludable right to approach a competent consumer commission or other statutory authority where such right exists.

20. CHANGES TO THESE TERMS


Arion Ratings may update these Terms from time to time due to changes in law, technology, our services or operational requirements.

The latest version will be published on https://www.arionratings.com/ with a revised “Last Updated” date. Continued use of the website after publication constitutes acceptance of the updated Terms, except where a signed commercial agreement requires a different amendment process for paid services.

Changes to these website Terms will not retrospectively alter a signed commercial agreement except as permitted by that agreement or by law.

21. MISCELLANEOUS

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Failure by Arion Ratings to enforce any provision does not constitute a waiver of that provision.

These Terms, together with the Privacy Policy, the terms & Conditions, and any applicable commercial agreement, consent notice or acceptable-use policy, constitute the terms governing use of the website and, where no separate contract exists, the software services.

You may not assign these Terms without our prior written consent. Arion Ratings may assign these Terms to an affiliate or successor in connection with a corporate reorganisation or transfer of the business.
